Introduction

What is the DACnet™ Subscription Agreement?

The subscription agreement details the terms and conditions regarding your application for, and the terms and conditions regarding your use of DACnet™.

This subscription agreement is between you and The DAC. It balances your interests as an individual denturist with the interests of the profession as a whole - as represented by The DAC.

You must read this subscription agreement before applying for, or using DACnet™. This subscription agreement contains, among other things, limited warranties, disclaims all other warranties or conditions of merchantability, merchantable quality or fitness for a particular purpose, limits liability, and excludes all liability for incidental, consequential, and punitive damages. If you do not agree to the terms of this subscription agreement, do not apply for, or use DACnet™.

Subscription Fees (non-refundable)

1^st year (start-up year) –

The DAC Member* - $380.00 CDN plus 5% GST (13% HST in Ontario / 15% HST in New Brunswick, Newfoundland, Nova Scotia and PEI) Non-Member - $880.00 CDN plus 5% GST (13% HST in Ontario / 15% HST in New Brunswick, Newfoundland, Nova Scotia and PEI)

Subsequent years –

The DAC Member* - $180.00 CDN plus 5% GST (13% HST in Ontario / 15% HST in New Brunswick, Newfoundland, Nova Scotia and PEI) Non-Member - $680.00 CDN plus 5% GST (13% HST in Ontario / 15% HST in New Brunswick, Newfoundland, Nova Scotia and PEI)

*A member in good standing of a provincial or territorial Denturist association which is a member of The Denturist Association of Canada. Note: The first renewal year following a lapsed subscription will be considered Year One/Start Up year and appropriate start-up fees will apply.

This subscription is for one denturist only. Every denturist in your office who plans to submit claims in his or her name on DACnet™ must complete a subscription agreement and submit the subscription fees.

DACnet™ Subscription Agreement

1. Terms, Conditions and Definitions. This Subscription Agreement details the terms and conditions regarding your use of DACnet™. In this Agreement:

“DAC” is The Denturist Association of Canada.

“DACnet” is the trade-mark owned by The DAC.

“DACnet™ Participant” means any person (other than you) or entity authorized by The DAC to participate in DACnet™ and includes certain persons or entities providing dental claims capture, transmission, messaging, electronic transaction, switching, acknowledgment,        adjudication, predetermination and /or payment services through DACnet™ and certain persons and entities providing software to access or use DACnet™.

“Data Extract” means the data extracted from dental claims submitted through DACnet™, which data shall not identify the dentist, the claims processor, the plan sponsor, or the patient.

2. Processing your Application. If your application is approved, DACnet™ will issue you a DACnet™ identification number, a DACnet™ office number, written instructions on the use of DACnet™ and reasonable telephone support. Your access to, or use of, DACnet™ is considered your agreement to abide by and be bound by this Subscription Agreement.

3. Modifications to Agreement or Service(s). DACnet™ may at any time: (i) revise the terms and conditions of this Subscription Agreement; and/or (ii) change the services provided under this Subscription Agreement. Any such revision or change will be binding and effective thirty (30) days after: (i) posting of the revised Subscription Agreement or change to the service(s) on DAC’s websites; and/or

(ii) notification to you by email or postal mail. You agree to periodically review the current version of the Subscription Agreement available on The DAC’s websites, to be aware of any such revisions or changes. If you do not agree with any revision to the Subscription Agreement or change to the service(s), you may terminate this Agreement at any time by providing notice to DAC. By continuing to use DACnet™ thirty (30) days after posting or notification of any revision to the Subscription Agreement or change in service(s), you agree to abide by and be bound by any such revisions or changes.

4. Termination of Agreement and Notice. Either you, or The DAC, may terminate this Subscription Agreement at any time by giving notice to the other party by postal mail, by email or by other electronic means. Any notice given by electronic means is deemed to have been given and received on the date of transmission. Any notice given by postal mail shall be deemed to have been given and received on the fifth day following its mailing, provided that during any period of postal mail disruption, notice shall be given by electronic means.
5. Your Obligations upon Termination. Upon termination of this Subscription Agreement, you shall no longer access, or use, DACnet™.

6. Your Warranties. You warrant to The DAC and DACnet™ Participants that: (i) you are, and will be at all times during the currency of this Agreement, duly registered or licensed to practice denturism in Canada;

(ii) you will comply with the rules and procedures for accessing DACnet™; (iii) all the information you provided to DACnet™ in the Subscriber Identification section of this Subscription Agreement is accurate; (iv) you will promptly notify DACnet™ of any change in the information set forth in the Subscriber Identification section of this Subscription Agreement; (v) the electronic submission of a claim by you to a DACnet™. Participant constitutes a certification by you that the claim is an accurate statement of services performed and of the total fee payable, errors and omissions excepted; and (vi) you have read and understood this Subscription Agreement, agree to be bound by it, and agree that access to, or use of, DACnet™ is evidence of such agreement.

7. Patient Consents and Data Extract. You agree to obtain each of your patient’s consent to: (i) submit dental claims and/or predetermination through DACnet™ and (ii) to provide the Data Extract. You agree to keep original copies of patients’ consents on file for a period of three (3) years and to provide copies thereof to The DAC, or to the appropriate DACnet™ Participant upon request. You release all right, title and interest in and to any Data Extract.
8. Acknowledgments and Disclaimers. You acknowledge and agree: (i) that access to, and use of, DACnet™ is solely at your own risk; (ii) that all such services are provided on an “AS IS” and “AS AVAILABLE” basis; (iii) that the adjudication, processing, validation and/or payment of any dental claim submitted through DACnet™ are not the responsibility of The DAC; (iv) that the response to any request submitted by you through DACnet™ is not the responsibility of The DAC; and (v) that The DAC is not responsible for, and shall have no liability with respect to, any product and/or service obtained by you from a third party. The DAC and DACnet™ Participants disclaim any and all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose and non-infringement. Neither The DAC, nor any DACnet™ Participant, makes any warranty that DACnet™ will be uninterrupted, timely, secure or error free; nor does The DAC, or any DACnet™ Participant, make any warranty as to the results that may be obtained from the use of DACnet™, or the accuracy or reliability of any information submitted or obtained through DACnet™.

You acknowledge and agree that the acknowledgments, disclaimers and exclusions contained in this paragraph 8 shall extend to the benefit of The DAC and all DACnet™ Participants, and shall survive termination of this Subscription Agreement.

9. Limitations of This paragraph

9 applies to liability under contract (including breach of warranty), tort (including negligence and/or strict liability), and any other legal or equitable form of claim. If you initiate any claim, action, suit, arbitration, or other proceeding relating to DACnet™ or this Subscription Agreement, and to the extent permitted by applicable law, The DAC’s and DACnet™ Participants’ aggregate total liability for damages sustained by you and any third party shall be limited, in the aggregate, to

$10.00 (Canadian). The liability limitations provided in this paragraph 9 shall be the same regardless of the number of transactions or claims. Independent of, severable from, and to be enforced independently of any other enforceable or unenforceable provision of this Subscription Agreement, neither The DAC, nor any DACnet™ Participant, will be liable to you or to any third party for incidental, consequential, special, punitive, or exemplary damages of any kind.

You acknowledge and agree that the exclusions and limitations of liability in this paragraph 9 shall extend to the benefit of The DAC and all DACnet™ Participants, and shall survive termination of this Subscription Agreement.

10. You agree to indemnify and hold The DAC and DACnet™ Participants harmless from and against any third-party claim resulting from, or arising out of: (i) the breach of your warranties, representations and obligations under this Subscription Agreement, or (ii) your use or misuse of DACnet™. This indemnification obligation shall survive the termination of this Subscription Agreement.

11. You authorize The DAC to collect, retain, use and disclose your personal information for these purposes and to share such personal information with DACnet™ Participants. You also authorize DACnet™ Participants to disclose your personal information to The DAC.

En quoi consiste le contrat d’abonnement à DACnet ?

Le contrat d’abonnement décrit les modalités de votre demande d’inscription et d’utilisation de DACnet^MC.

Ce contrat d’abonnement a lieu entre vous et l’ADC. Il sert à maintenir un équilibre entre vos intérêts en tant que denturologiste particulier et ceux de la profession en général – représentée ici par l’ADC.

Vous devez lire ce contrat d’abonnement avant de  présenter  votre  demande  ou  d’utiliser DACnet^MC. Ce contrat contient, entre autres, des garanties restreintes, dénie toute autre garantie ou condition quant à la qualité marchande ou à l’adaptation à un usage particulier, restreint la responsabilité, et exclut toute responsabilité pour les dommages indirects, consécutifs et punitifs. Si vous n’acceptez pas les modalités de ce contrat, ne vous inscrivez pas à DACnet^MC ou ne l’utilisez pas.

Frais d’abonnement (non remboursables)

1^ère année (année de mise en service) –

Membre de l’ADC* - 380 $ CAN plus 5% TPS/TVH applicable (13% Ontario, 15% Nouveau- Brunswick, Terre-Neuve, Nouvelle-Écosse et Île du Prince-Édouard)

Non membre – 880 $ CAN plus TPS/TVH applicable (13% Ontario, 15% Nouveau-Brunswick, Terre-Neuve, Nouvelle-Écosse et Île du Prince-Édouard)

Années suivantes –

*Un membre en règle d’une association de denturologistes provinciale ou territoriale qui est membre de l’Association des denturologistes du Canada.

Note : La première année de renouvellement après un désabonnement sera considérée comme la première année/année de mise en service et les frais de mise en service s’appliqueront.

Note importante!

Il  faut  compter  un  seul  contrat d’abonnement par denturologiste. Tout denturologiste de votre cabinet qui se propose  d’utiliser  DACnet^MC  pour soumettre ses demandes d’indemnisation doit s’inscrire séparément et acquitter les frais d’abonnement.

Contrat d’abonnement au DACnetMC 

1.Modalités et définitions. Ce contratd’abonnement précise les modalités d’utilisationde DACnetMC. Dans le présent contrat :

“ADC” désigne l’Association des denturologistes du Canada. 

“DACnet” est une marque de commerce qui appartient à l’ADC. 

“Participant à DACnetMC” désigne toute personne (autre que vous) ou entité autorisée par l’ADC à participer à DACnetMC et comprend des personnes ou entités qui reçoivent, transmettent, traitent, effectuent des transactions électroniques, transfèrent, accusent réception, statuent, prédéterminent ou offrent des services de paiement au moyen de DACnetMC ainsi que d’autres personnes ou entités qui fournissent des logiciels d’accès ou d’utilisation de DACnetMC. 

“Extrait de données” désigne des données extraites des demandes d’indemnisation de soins dentaires présentées au moyen de DACnetMC, lesquelles ne doivent permettre d’identifier ni le dentiste, ni la société qui traite les demandes d’indemnisation, ni le répondant du régime, ni le patient. 

2.Traitement de votre demande. Àl’acceptation de votre contrat, DACnetMCs’engage à vous assigner un numéro d’identification DACnetMC, un numéro d’abonnement DACnetMC, des instructions écrites sur l’utilisation de DACnetMC et à vous fournir une aide raisonnable par téléphone. L’accès à DACnetMC ou son utilisation constitue votre engagement à respecter les modalités de ce contrat et à vous y conformer. 

3.Modifications au contrat ou aux services.DACnetMC peut en tout temps : (i) modifier lesmodalités de ce contrat d’abonnement et/ou (ii)modifier les services fournis en vertu du présentcontrat d’abonnement. Toute modification ouchangement entrera en vigueur et aura forceexécutoire trente (30) jours après : (i) lapublication du contrat d’abonnement modifié oude la modification des services sur les sites Webde l’ADC; et/ou (ii) l’avis qui vous aura ététransmis par courrier électronique ou par laposte. Vous convenez de vérifier périodiquementquelle est la version la plus récente du contratd’abonnement se trouvant sur les sites Web del’ADC pour vous tenir au courant de cesmodifications ou changements. Si vous n’êtespas d’accord avec toute modification apportée aucontrat d’abonnement ou aux services, vouspouvez résilier ce contrat en tout temps enremettant un avis à cette fin à l’ADC. Le fait decontinuer d’utiliser DACnetMC trente (30) joursaprès la publication ou l’avis de toute modification au contrat d’abonnement ou aux services constitue votre consentement à respecter ces modifications et à vous y conformer. 

4.Résiliation du contrat et avis. Vous oul’ADC pouvez résilier ce contrat d’abonnementen tout temps en remettant un avis à l’autre partiepar la poste, par courrier électronique ou pard’autres moyens électroniques. Tout avistransmis par des moyens électroniques estconsidéré avoir été remis et reçu à la date detransmission. Tout avis transmis par la poste estconsidéré avoir été remis et reçu le cinquièmejour après le jour de la mise à la poste, sousréserve qu’en cas de période de perturbation duservice postal, l’avis sera transmis par desmoyens électroniques.

5.Vos obligations sur résiliation du contrat.Dès la résiliation du contrat d’abonnement, vousn’aurez plus le droit d’accéder à DACnetMC ni del’utiliser.

6.Vos garanties. Vous garantissez à l’ADC etaux participants de DACnetMC que : (i) vous êteset serez en tout temps durant la durée de contrat,détenteur d’une accréditation ou d’uneautorisation vous permettant d’exercer ladenturologie au Canada; (ii) vous vousconformerez aux règles et aux procéduresd’accès à DACnetMC; (iii) tous lesrenseignements que vous fournirez à DACnetMCdans la partie Identification de l’abonné de cecontrat d’abonnement sont exacts; (iv) vousinformerez rapidement DACnetMC de toutemodification aux renseignements donnés dans lapartie Identification de l’abonné de ce contratd’abonnement; (v) la transmission électroniqued’une demande d’indemnisation à un participantde DACnetMC constitue une déclaration que cettedemande contient une description exacte dessoins rendus et des honoraires qui s’y rapportent,sauf erreur ou omission; et (vi) vous avez lu etcompris ce contrat d’abonnement, vous êtes liépar ce contrat, et le fait d’accéder à DACnetMCou de l’utiliser constitue une preuve de votreacceptation des modalités de ce contratd’abonnement.

7.Consentement des patients et extraits dedonnées. Vous convenez d’obtenir leconsentement de chacun de vos patients pour : (i)transmettre des demandes d’indemnisation oudes prédéterminations au moyen de DACnetMC et(ii)fournir des extraits de données. Vousconvenez de conserver les originaux desconsentements écrits des patients dans vosdossiers durant trois (3) ans et d’en fournir surMise à jour : le 10 fevrier 2020 demande des copies à l’ADC ou à tout participant pertinent de DACnetMC. Vous renoncez à tous droits, titres et intérêts relatifs aux extraits de données. 

8.Attestations et renonciations. Vousconvenez et attestez que : (i) l’accès à DACnetMCet son utilisation se font à vos propres risques;(ii)tous ces services sont fournis TELS QUELSet SELON LEUR DISPONIBILITÉ; (iii)l’évaluation, le traitement, la validation ou lepaiement de toute demande d’indemnisation aumoyen de DACnetMC ne sont pas laresponsabilité de l’ADC; (iv) la réponse à toutedemande que vous transmettez au moyen deDACnetMC n’est pas la responsabilité de l’ADC;et (v) l’ADC n’est pas responsable et n’a aucuneobligation eu égard à tout produit ou service quevous obtenez d’un tiers. L’ADC et les participantde DACnetMC renoncent à toutes les garantiesexplicites et implicites, y compris, sans toutefoiss’y limiter, les garanties de qualité marchande,d’adaptation à un usage particulier et d’absencede contrefaçon. Ni l’ADC ni aucun participant deDACnetMC ne garantissent que DACnetMC neconnaîtra pas d’interruption, sera rapide, sûr etexempt d’erreurs. Ni l’ADC ni aucun participantde DACnetMC garantissent les résultats quipeuvent être obtenus en utilisant DACnetMC, oul’exactitude ou la fiabilité de tout renseignementtransmis ou obtenu au moyen de DACnetMC.

Vous attestez et convenez que les attestations, les renonciations et les exclusions qui sont prévues à l’article 8 s’appliquent à l’avantage de l’ADC et de tous les participants de DACnetMC et survivront à la résiliation de contrat d’abonnement. 

9.Limitations de responsabilité. Le présentarticle 9 s’applique à la responsabilité en vertudu contrat (y compris la violation de garantie),aux délits (y compris la négligence ou laresponsabilité objective) et à toute autre formelégale et équitable de réclamation. Si vousdéposez une plainte ou intentez une action, unepoursuite ou demandez un arbitrage ou une autreprocédure relativement à DACnetMC ou à cecontrat d’abonnement, et dans la mesure permisepar le droit applicable, la responsabilité totalecumulative de l’ADC et des participants deDACnetMC pour les dommages-intérêts que vousou un tiers encourez se limite, cumulativement, à10 $ (CAN). Les limitations de responsabilitéprévues dans le présent article 9 restent lesmêmes, quel que soit le nombre de transactionsou de demandes. Indépendamment de,séparément de et à exécuter indépendamment detoute disposition exécutable ou non exécutablede ce contrat d’abonnement, ni l’ADC ni aucun participant de DACnetMC ne seront responsables à votre égard ou à l’égard d’un tiers pour les dommages consécutifs, indirects, particuliers, punitifs ou exemplaires de tout ordre. 

Vous attestez et convenez que les renonciations et les exclusions qui sont prévues à l’article 9 s’appliquent à l’avantage de l’ADC et de tous les participants de DACnetMC et survivront à la résiliation de contrat d’abonnement. 

10.Indemnité. Vous convenez de garantirl’ADC et les participants de DACnetMC contretoute responsabilité relativement à touteréclamation d’un tiers qui découle ou résulte : (i)de la violation de vos garanties, de vosreprésentations ou de vos obligations en vertu dece contrat d’abonnement, ou (ii) de votreutilisation de DACnetMC ou du mauvais usageque vous en faites. Cette obligation d’indemnitésurvivra à la résiliation de ce contratd’abonnement.

11.Confidentialité. Vous autorisez l’ADC àrecueillir, à conserver, à utiliser et à divulguer àces fins les renseignements personnels qui vousconcernent et à les transmettre aux participantsde DACnetMC. Vous autorisez également lesparticipants de DACnetMC à divulguer cesrenseignements à l’ADC.
